LighChat End-User License Agreement (EULA)

Last updated: 2026-08-03 Version: 2 Applies to: the LighChat mobile applications (iOS, Android) and desktop applications (macOS, Windows, Linux).

1. Parties and subject matter

This EULA is a licence agreement between KDS Consulting, Inc., a Florida corporation, 1730 S Federal Hwy, Suite 160, Delray Beach, FL 33483, United States (the "Licensor", "we") and the person or organisation installing or using the LighChat application (the "Software", "you").

The Software is licensed, not sold. Your use of the online service delivered through the Software is additionally governed by the Terms of Service and the Privacy Policy.

The Software is offered to an international audience and is not directed at users located in the Russian Federation.

2. Licence grant

We grant you a personal, non-exclusive, non-transferable, revocable, worldwide licence, for the term of your account, to:

• install the Software on devices you own or control (on iOS, on any Apple-branded devices you own or control, as permitted by the Apple Media Services Terms, including Family Sharing);
• run the Software for personal use, or for internal use within an organisation;
• receive and install updates.

3. Restrictions

You may not:

• decompile, disassemble or reverse engineer the Software, except to the extent mandatory law expressly permits (e.g. Art. 6 of EU Directive 2009/24/EC);
• remove or obscure copyright, trademark or other proprietary notices;
• rent, lease, lend, sell, sublicense or distribute copies of the Software;
• use the Software to build a competing product or service;
• use the Software in breach of the Acceptable Use Policy or of applicable law.

4. Updates

The Software may check for and install updates automatically. You may disable automatic updates where the platform allows it, but we may still deliver critical security updates, and we may stop supporting outdated versions.

5. Open-source components

The Software includes open-source components licensed under their own terms (see LICENSES.md in the distribution). Where those terms conflict with this EULA, they prevail for the component concerned.

6. Data

The Software processes data as described in the Privacy Policy. Installing and using the Software means you have read it.

7. Export controls

The Software contains encryption and is subject to U.S. export control law. Section 10 of the Terms of Service applies to this EULA, including the representation that you are not located in a comprehensively sanctioned country or region and are not on a U.S. restricted-party list.

8. Warranty disclaimer and liability

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND. We do not warrant that it will meet your requirements, be free of defects, or run without interruption.

Our liability is limited as set out in Section 12 of the Terms of Service. Statutory rights of consumers that cannot be excluded are unaffected.

9. Term and termination

This licence ends when your account is deleted, when you materially breach this EULA, or when we discontinue distribution of the Software (with 30 days' notice). On termination you must stop using the Software and remove it from your devices.

10. Governing law

This EULA is governed by the laws of the State of Florida and the federal laws of the United States. Sections 15 and 16 of the Terms of Service (governing law, arbitration, class-action waiver and the exceptions for EEA/UK consumers) apply to this EULA as well.

11. Apple App Store addendum

This section applies only to the Software obtained from the Apple App Store, and prevails over the rest of this EULA where they conflict.

1. The agreement is with us, not Apple. This EULA is concluded between you and KDS Consulting Inc only. Apple Inc. is not a party to it, and we — not Apple — are solely responsible for the Software and its content.
2. Scope of licence. The licence is non-transferable and limited to use on Apple-branded devices that you own or control, subject to the Usage Rules of the Apple Media Services Terms and Conditions.
3. Maintenance and support. We are solely responsible for support at support@lighchat.online. Apple has no obligation to provide maintenance or support.
4. Warranty. In the event of any failure of the Software to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any). To the maximum extent permitted by law, Apple has no other warranty obligation; any other claims, losses, liabilities, damages, costs or expenses attributable to a failure to conform to a warranty are our sole responsibility.
5. Product claims. We, not Apple, are responsible for addressing any claims relating to the Software or your use of it, including product liability claims, claims that the Software fails to conform to a legal or regulatory requirement, and claims arising under consumer-protection or privacy law.
6. Intellectual property claims. In the event of a third-party claim that the Software infringes intellectual property rights, we, not Apple, are solely responsible for the investigation, defence, settlement and discharge of that claim.
7. Legal compliance. You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
8. Third-party beneficiary. Apple and its subsidiaries are third-party beneficiaries of this EULA and, upon your acceptance, will have the right to enforce it against you.

12. Google Play

For the Software obtained from Google Play, this EULA is between you and us; Google is not a party to it. The Google Play Terms of Service apply to your download and use of the Software from that store.
