End-User License Agreement

LighChat End-User License Agreement (EULA)

1. Parties and subject

This EULA is entered into between [LEGAL ENTITY NAME] (the "Licensor") and the natural or legal person installing and using the LighChat application (the "Software", "Licensee").

The subject is a non-exclusive license to use the Software under the terms of this EULA.

2. Grant of license

The Licensor grants the Licensee the right to:

  • install the Software on any number of devices owned by the Licensee;
  • run the Software for personal non-commercial use, or for commercial use within an organization;
  • receive and install updates.

The license is:

  • non-exclusive;
  • royalty-free (for baseline functionality);
  • worldwide;
  • term-bound — for the duration of the Licensee's account.

3. Restrictions

The Licensee shall not:

  • decompile, disassemble, reverse engineer the Software, except where mandatory law expressly permits;
  • remove or obscure copyright notices and trademarks;
  • sublicense, sell or distribute copies;
  • use the Software to develop a competing product;
  • use the Software in violation of the Acceptable Use Policy.

4. Updates

The Software automatically checks for and may install updates without further consent. The Licensee may disable auto-updates in settings, except for critical security updates.

5. Third-party components

The Software bundles open-source components under their own licenses (see LICENSES.md in the distribution). Those licenses prevail over this EULA in respect of those components.

6. Warranty and liability

The Software is provided "as is". The Licensor does not warrant:

  • fitness for any particular purpose of the Licensee;
  • absence of bugs or defects;
  • uninterrupted operation.

The Licensor's liability is limited as set out in the Terms of Service.

7. Data collection

The Software collects data per the Privacy Policy. Installation and use of the Software constitute acceptance of that policy.

8. Termination

The license terminates:

  • when the Licensee's account is deleted;
  • upon material breach of this EULA by the Licensee;
  • when the Licensor discontinues distribution of the Software (with 30 days' notice).

Upon termination the Licensee shall remove the Software from all devices.

9. Governing law

This EULA is governed by the laws of the Russian Federation.
